These Terms of Service govern access to and use of the Lede platform and any associated Lede applications or services (together, the Lede Platform) provided by Lede Technologies Pty Ltd (ACN 698 337 718) (Lede, we, us).
By accessing or using the Lede Platform, you agree to these Terms. If you are accessing the Lede Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
If you do not agree to these Terms, do not use the Lede Platform.
1. Definitions
In these Terms:
- Operator means the organisation or business that has entered into a subscription agreement with Lede and administers access to the Lede Platform for its Workers.
- Worker means an individual end user whose access to the Lede Platform is provisioned and managed by an Operator.
- Subscriber means an Operator or individual who has purchased a subscription to the Lede Platform.
- Account means the account created to access and use the Lede Platform.
- Content means any data, text, files, shift notes, or other materials submitted to or processed through the Lede Platform, including Worker-generated shift notes and AI-derived outputs.
- Data Classification means the three-tier classification system applied to Content as described in the Privacy Policy, comprising Tier 1 (Operational), Tier 2 (Behavioural), and Tier 3 (Sensitive) data.
- Documentation means any user guides, help articles, or technical specifications made available by Lede.
- Subscription means the right to access the Lede Platform for a specified period under a nominated plan.
2. Access and Accounts
2.1 Account registration
To access the Lede Platform, you must create an Account. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.
You must notify us immediately at privacy@workwithlede.com if you become aware of any unauthorised access to or use of your Account.
2.2 Operator responsibilities
Where you are an Operator, you are responsible for:
- ensuring that Workers access and use the Lede Platform in accordance with these Terms;
- managing the permissions and access levels granted to Workers;
- informing Workers before first use that the Lede Platform is in use and that shift notes are recorded, stored, and processed — including by AI features — in accordance with the Privacy Policy;
- providing updated Worker disclosure before any AI feature upgrade is activated on your account, including when moving between subscription tiers;
- ensuring Workers use pseudonyms or codes rather than resident, client, or patient names when entering notes that reference third parties, particularly in aged care, disability support, and health settings;
- not using Lede Platform data, including AI outputs, as the sole basis for any employment decision;
- maintaining an internal response protocol for any safety or compliance signals surfaced by the Lede Platform;
- ensuring your organisation holds any necessary authority to submit Content relating to Workers; and
- maintaining accurate Account and billing information.
2.3 Eligibility
You must be at least 18 years old to create an Account. The Lede Platform is intended for use in a professional or business context. Workers whose access is provisioned by an Operator are not required to hold their own Account, and the 18-year minimum above applies to Account holders only. The Operator is responsible for ensuring each Worker it provisions is lawfully engaged.
3. Subscriptions and Payment
3.1 Subscription plans
Access to the Lede Platform is provided on a subscription basis. Available plans, pricing, and included features are described on our website or in your order documentation. Subscriptions are priced on a per-site and per-module basis unless otherwise agreed.
3.2 Billing
Fees are billed in advance for each billing period. By providing payment details, you authorise Lede to charge the applicable fees to your nominated payment method. Payment processing is handled securely by Stripe. Lede does not store card details.
All fees are in Australian dollars and are exclusive of GST unless otherwise stated. GST will be added where applicable.
3.3 Changes to pricing
We may change subscription pricing on 30 days written notice. Continued use of the Lede Platform after the effective date of a price change constitutes acceptance of the new pricing.
3.4 Non-payment
If payment is not received when due, we may suspend access to the Lede Platform until outstanding amounts are settled. We reserve the right to terminate a Subscription for persistent non-payment.
3.5 Refunds
Fees paid are non-refundable except as required by Australian Consumer Law or as expressly agreed in writing.
4. Use of the Lede Platform
4.1 Permitted use
You may use the Lede Platform only for lawful purposes and in accordance with these Terms and any applicable Documentation. The Lede Platform is intended for internal operational use by the Subscriber and its authorised Workers.
4.2 Prohibited conduct
You must not:
- use the Lede Platform to engage in unlawful activity or to facilitate harm to any person;
- attempt to gain unauthorised access to any part of the Lede Platform or to the systems or networks of Lede or any third party;
- reverse engineer, decompile, or otherwise attempt to derive source code from the Lede Platform;
- resell, sublicense, or otherwise make the Lede Platform available to third parties without our prior written consent;
- use the Lede Platform in a manner that exceeds the scope of your Subscription or that imposes an unreasonable burden on our infrastructure;
- submit Content that infringes the intellectual property rights of any person or that contains malicious code; or
- circumvent, disable, or interfere with security features of the Lede Platform.
5. Content and Data
5.1 Your Content
You retain ownership of Content you submit to the Lede Platform. By submitting Content, you grant Lede a limited, non-exclusive licence to process, store, and use that Content for the purpose of providing the Lede Platform to you.
You are responsible for the accuracy, quality, and legality of Content you submit. You confirm that you hold any rights or authorities necessary to submit Content to the Lede Platform.
5.2 Data classification
All Content submitted to the Lede Platform is handled in accordance with the Data Classification framework set out in the Privacy Policy. Tier 3 (Sensitive) data — including health information, personal circumstances, or third-party vulnerability disclosures incidentally included in shift notes — is subject to the highest level of access restriction and is not used for AI training or product improvement purposes.
5.3 Our use of Content
We will not use your Content for purposes beyond delivering the Lede Platform except as described in our Privacy Policy or as required by law. We do not sell your Content to third parties.
5.4 Aggregate and anonymised data
We may use aggregated, de-identified data derived from use of the Lede Platform for product development, analytics, and benchmarking purposes. This data will not identify you or your Workers. Tier 3 data is excluded from this use entirely.
6. AI Features
The Lede Platform includes AI features that process shift note Content to generate summaries, incoming briefings, pattern detection outputs, and Manager Dashboard insights. By using AI features, you acknowledge and agree that:
- AI outputs are generated as patterns for human review and are not findings, conclusions, or recommendations. They do not constitute professional advice of any kind.
- AI outputs must not be used as the sole basis for any employment decision, performance assessment, or disciplinary action relating to a Worker.
- Individual Worker attribution in AI outputs is restricted. The AI does not produce outputs that name or identify individual Workers without a human review gate in place.
- Where paid-tier (Starter, Growth, or Enterprise) AI pattern features are active, shift note Content may be analysed across multiple shifts. Operators must ensure Workers receive disclosure of this before such features are activated.
- Tier 3 (Sensitive) data is not used for AI training or product improvement.
7. Intellectual Property
All intellectual property rights in the Lede Platform, including the platform, software, interfaces, and Documentation, remain the property of Lede or its licensors. Nothing in these Terms transfers any ownership of intellectual property to you.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Lede Platform during your Subscription period, solely for the purposes described in these Terms.
You grant us a limited licence to use your trade name and logo to identify you as a customer of Lede, unless you request otherwise in writing.
8. Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at workwithlede.com/privacy. The Privacy Policy forms part of these Terms.
Where you are an Operator, you acknowledge that Lede processes personal information about Workers on your behalf. You confirm that you have lawful authority to provide that information and that you have notified Workers of such processing in accordance with applicable privacy law and the requirements set out in clause 2.2 of these Terms.
Operators acknowledge that data storage, retention periods, and cross-border disclosure arrangements are as described in the Privacy Policy, including that all operational data is stored on Australian infrastructure (AWS ap-southeast-2) and that Content is retained until the Operator’s account is deleted, while the AI processing window applied to shift-note Content varies by subscription tier.
9. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that would reasonably be understood to be confidential given its nature or the circumstances of disclosure.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known other than through a breach of these Terms; (b) was already known to the recipient at the time of disclosure; (c) is received from a third party without restriction; or (d) must be disclosed by law or court order.
Obligations under this clause survive termination of these Terms for three years.
10. Availability and Support
10.1 Platform availability
We aim to make the Lede Platform available at all times but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practicable.
10.2 Support
Support is available in accordance with the terms of your Subscription plan. Support requests can be submitted at info@workwithlede.com.
10.3 Platform changes
We may update, modify, or discontinue features of the Lede Platform from time to time. We will notify you of material changes by email or by notice within the platform.
11. Suspension and Termination
11.1 Termination by Subscriber
You may cancel your Subscription at any time through your Account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No refund is provided for the remaining unused period unless required by law.
11.2 Suspension or termination by Lede
We may suspend or terminate your access to the Lede Platform with notice if:
- you breach these Terms and fail to remedy the breach within 30 days of written notice;
- you fail to pay fees when due; or
- we are required to do so by law or to protect the security or integrity of the Lede Platform.
We may suspend access immediately, without notice, if there is a risk of harm to the Lede Platform, other users, or third parties.
11.3 Effect of termination
On termination, your right to access the Lede Platform ends. You may export your Content prior to termination. We will delete your Content within 30 days of the termination date in accordance with the Privacy Policy, unless we are required by law to retain it. Clauses that by their nature should survive termination will continue in force.
12. Data Breaches
Lede maintains a written data breach response plan. In the event of an eligible data breach as defined under the Notifiable Data Breaches scheme (Privacy Act 1988 (Cth), Part IIIC), we will assess the breach, notify the Office of the Australian Information Commissioner and all affected individuals as required by law, and take immediate steps to contain the breach and prevent recurrence.
Operators must notify Lede immediately at privacy@workwithlede.com if they become aware of any actual or suspected data breach involving Worker personal information processed through the Lede Platform. Operators must not take any action that may prejudice an investigation or required notification without first consulting Lede.
13. Warranties and Disclaimers
Lede warrants that the Lede Platform will be provided with reasonable care and skill and substantially in accordance with the Documentation.
To the extent permitted by law, we exclude all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
Nothing in these Terms excludes rights under the Australian Consumer Law that cannot lawfully be excluded.
14. Limitation of Liability
To the extent permitted by law, Lede's total liability to you under or in connection with these Terms is limited to the total fees paid by you in the 12 months preceding the event giving rise to the claim.
Neither party will be liable for indirect, consequential, incidental, special, or punitive damages, including loss of revenue, loss of profit, or loss of data, arising in connection with these Terms, even if advised of the possibility of such damages.
The limitations in this clause do not apply to: (a) liability that cannot be excluded or limited under Australian law; (b) death or personal injury caused by negligence; or (c) fraud or wilful misconduct.
15. Indemnity
You agree to indemnify and hold harmless Lede Technologies Pty Ltd, its officers, employees, and agents against any claims, liabilities, damages, and costs (including reasonable legal fees) arising from: (a) your use of the Lede Platform in breach of these Terms; (b) your violation of applicable law; or (c) Content you submit that infringes the rights of a third party.
16. Third-Party Services
The Lede Platform uses third-party services to operate, including AWS (infrastructure, hosting, and database), Anthropic (AI processing), and Stripe (payments). Each is governed by its own terms and privacy policy. Lede takes reasonable steps to ensure these providers handle personal data securely and consistently with applicable Australian privacy law.
Where integrations with additional third-party services are made available, your use of those services is governed by that provider's terms.
17. Governing Law and Disputes
These Terms are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales.
Before commencing proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for at least 30 days after written notice of the dispute.
18. General
18.1 Entire agreement
These Terms, together with the Privacy Policy and any order documentation, constitute the entire agreement between the parties relating to the Lede Platform and supersede all prior agreements and understandings.
18.2 Amendments
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Lede Platform after the effective date constitutes acceptance of the updated Terms.
18.3 Waiver
A failure to exercise or delay in exercising a right under these Terms does not constitute a waiver of that right.
18.4 Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The remaining provisions continue in full force.
18.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Notices under these Terms should be sent to info@workwithlede.com. We will send notices to the email address associated with your Account.
